1. AGREEMENT TO TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you and TGM Ventures, Inc., a Washington state corporation ("TGM Ventures," "we," "us," or "our"), operating LivePFS. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. SERVICE DESCRIPTION
LivePFS is a personal financial statement platform that allows users to create, manage, and share professional financial statements. Our services include financial data management, real-time calculations, optional secure connection of financial accounts (via providers such as Stripe Financial Connections, Plaid, and SnapTrade) to import balances and account ownership, PDF generation, and secure document sharing capabilities. The platform enables you to organize and present your financial information in a professional format that can be shared with banks, mortgage lenders, and other financial institutions.
3. USER ACCOUNTS AND CONSENT
By creating an account and providing your information to LivePFS, you consent to use our platform services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
4. USER REPRESENTATIONS
By using our services, you represent that you have the legal capacity to enter into these Terms, you are at least 18 years old, and you will use our services only for lawful purposes. You agree to provide accurate and complete information when using the platform.
5. PRIVACY POLICY
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
6. INTELLECTUAL PROPERTY RIGHTS
All content on our website and platform, including text, graphics, logos, and software, is owned by TGM Ventures or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content from our platform without our prior written permission. You retain ownership of any financial data you input into the platform, and by using our services, you grant us a limited license to use your data solely for the purpose of providing our services to you.
7. PROHIBITED USES
You agree not to use our platform or services for any unlawful purpose, to violate any applicable laws or regulations, to infringe upon anyone's rights, to transmit harmful code or malware, to interfere with the operation of our services, to attempt unauthorized access to any part of the platform, to use the platform for fraudulent purposes, or to impersonate any person or entity.
8. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, TGM VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE PAST TWELVE MONTHS.
9. DISCLAIMER
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LivePFS is a tool for organizing and presenting financial information and is not a financial advisory service. We do not provide financial, legal, or tax advice.
10. INDEMNIFICATION
You agree to indemnify and hold harmless TGM Ventures and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your violation of these Terms or your use of our services.
11. GOVERNING LAW AND VENUE
These Terms shall be governed by the laws of the State of Washington. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in King County, Washington, and you hereby consent to the personal jurisdiction and venue of such courts.
12. DATA ACCURACY AND RESPONSIBILITY
You are solely responsible for the accuracy and completeness of any financial information you input into or connect to LivePFS. While we provide tools to help you organize and present your financial data, we do not verify the accuracy of the information you provide.
13. TERMINATION
We reserve the right to terminate or suspend your access to our services at any time, without notice, for any reason, including if you breach these Terms.
14. CHANGES TO TERMS
We may modify these Terms at any time. We will notify you of material changes by updating the date at the top of these Terms. Your continued use of our services after changes constitutes acceptance of the modified Terms.
15. SEVERABILITY
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TGM Ventures regarding the use of our services.
